Terms of Service
These terms apply to this website and freelance software services provided by Alejandro Jackson to business clients and individual consumers.

Who you are contracting with
The contracting party for these services is Alejandro Jackson. You can contact Alejandro at alejack312@gmail.com.
Project scope
A quote, proposal, statement of work, written estimate, or email agreement defines the project-specific scope, deliverables, timeline, price, revision rounds, included services, and assumptions. If there is a conflict between these terms and a signed or written project agreement, the project agreement controls for that project.
Deposits, invoices, and payment
- Unless a written quote says otherwise, a 50% non-refundable deposit is required to reserve time and start work.
- The remaining balance is due before launch, deployment transfer, repository transfer, final file delivery, or final handoff.
- Invoices are due on receipt unless the invoice or written quote states a different due date.
- Late, failed, disputed, reversed, or unpaid payments may pause work, launch, transfer, support, or handoff until the account is current.
- Deposits are non-refundable because they reserve calendar time and cover project setup, planning, and early work.
Client-paid costs
Unless a written quote says otherwise, you are responsible for domain registration and renewal, hosting, email, third-party tools, SaaS subscriptions, APIs, paid templates, assets, fonts, licenses, payment processor fees, app store fees, and other third-party platform costs.
Client responsibilities
- Provide accurate project information, brand materials, copy, images, credentials, approvals, and feedback when needed.
- Confirm that you have the rights to use any content, assets, data, trademarks, fonts, accounts, or materials you provide.
- Review work and provide timely, consolidated feedback during the agreed review windows.
- Maintain access to your own accounts, domains, hosting, payment tools, repositories, and third-party services.
- Give final approval before launch, transfer, or handoff when approval is requested.
Scope changes and delays
Out-of-scope requests, extra revision rounds, new features, major copy or design changes, new integrations, new pages, new content structures, data migration, emergency work, or delays caused by missing client inputs may require a new quote, timeline adjustment, or written change order.
Code, deliverables, and intellectual property
After final payment clears, you receive ownership or assignment of the custom project code and agreed deliverables created specifically for your project, subject to any third-party licenses and the limits in the project agreement.
Alejandro Jackson retains ownership of pre-existing tools, reusable know-how, libraries, templates, generic components, workflows, techniques, and non-client-specific code or concepts. Unless agreed otherwise in writing, Alejandro may reference the project in a portfolio, case study, proposal, or sales conversation after launch or public release.
Deployment and handoff
Deployment may be completed in your account, transferred to your account, or handed off through another agreed path. After handoff, you are responsible for ongoing platform costs, renewals, credentials, access control, backups, security settings, monitoring, content updates, and maintenance unless a separate maintenance agreement says otherwise.
Maintenance and post-launch fixes
Maintenance is not included unless it is separately scoped. If a project includes a post-launch bug-fix window, that window covers defects in the agreed scope only. It does not cover new features, changed requirements, third-party service changes, platform outages, client edits, content changes, credentials issues, hosting problems, or work outside the original scope.
Cancellation and non-payment
You may cancel a project by written notice. Deposits remain non-refundable, and completed work, committed costs, third-party expenses, approved milestones, and any unpaid invoices remain payable. Alejandro may pause or cancel work, launch, transfer, or handoff for unpaid invoices, missing materials, repeated delays, or material changes to project assumptions.
Confidentiality
Each side may receive confidential information from the other. Each side agrees to use reasonable care to protect confidential information and to use it only for the project, unless disclosure is required by law or the information becomes public through no fault of the receiving party.
Acceptable use
You may not use the website or services for unlawful activity, infringement, fraud, spam, harassment, security abuse, malware, unauthorized scraping, or activity that could damage the website, services, service providers, or other people.
Third-party services
Projects often rely on third-party services such as hosting platforms, domain registrars, analytics, databases, APIs, payment processors, repositories, and email services. Those services are governed by their own terms, privacy policies, pricing, limits, outages, and support rules. Alejandro is not responsible for third-party changes, downtime, data loss, price changes, account actions, or policy decisions.
No guaranteed business results
Alejandro will use reasonable professional skill and care, but no specific revenue, traffic, ranking, conversion rate, funding, hiring, press, sales, or business outcome is guaranteed.
Disclaimers and liability
To the fullest extent allowed by law, the website and services are provided without warranties beyond those expressly stated in a written project agreement. Alejandro is not liable for indirect, incidental, consequential, special, exemplary, or punitive damages, or for lost profits, lost revenue, lost data, business interruption, or reputational harm.
To the fullest extent allowed by law, Alejandro's total liability for a project is limited to the amount you paid Alejandro for that project during the three months before the event giving rise to the claim.
Indemnity
You agree to defend, indemnify, and hold Alejandro harmless from claims, losses, liabilities, damages, costs, and expenses arising from materials, instructions, data, content, assets, credentials, or third-party services you provide or ask Alejandro to use, including claims involving intellectual property, privacy, publicity, consumer-protection, or legal compliance.
Consumer rights
These terms apply to business clients and individual consumers. Nothing in these terms limits rights that cannot legally be waived, including non-waivable consumer rights that may apply where you live.
Privacy
The Privacy Policy explains how personal information is collected and used.
Force majeure
Neither side is responsible for delay or failure caused by events outside reasonable control, including outages, natural disasters, labor issues, war, terrorism, civil unrest, government action, illness, emergencies, internet or utility failures, and third-party platform failures.
Changes to these terms
These terms may be updated from time to time. The version posted on this page applies to website use after the update date. Project agreements already accepted remain governed by the terms and written agreement in effect for that project unless both sides agree otherwise.
Governing law
These terms are governed by the laws of New York, without regard to conflict-of-law rules, except where non-waivable law gives you other rights.
